LA FITNESS + FACTOR GIVEAWAY (“CONTEST”) RULES

THE FOLLOWING CONTEST IS OPEN ONLY TO LEGAL RESIDENTS OF THE UNITED STATES AT LEAST 18 YEARS OF AGE (OR THE LEGAL AGE OF MAJORITY IN THEIR STATE OR PROVINCE OF LEGAL RESIDENCE, WHICHEVER IS OLDER) OR OLDER AT TIME OF ENTRY. NO PURCHASE NECESSARY. VOID OUTSIDE THE UNITED STATES AND WHERE PROHIBITED. DO NOT ENTER THIS CONTEST IF YOU ARE NOT AT LEAST 18 YEARS OLD OR THE LEGAL AGE OF MAJORITY IN YOUR STATE OR PROVINCE OF LEGAL RESIDENCE. THIS CONTEST WILL BE CONSTRUED AND EVALUATED ACCORDING TO U.S. LAW. A PURCHASE WILL NOT INCREASE THE CHANCES OF WINNING. BY ENTERING, PARTICIPANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF SPONSOR AND THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS.

ELIGIBILITY: Open only to legal residents of the United States or the District of Columbia who are 18 years of age (or the legal age of majority in their state or province of legal residence, whichever is older) or older at the time of entry. The following individuals are not eligible: employees, contractors, directors and officers of Fitness International, LLC (“Sponsor”), each of its respective parents, subsidiaries, and affiliated companies, and the distributors, Web designers, advertising, fulfillment, insurance, and judging agencies involved in the administration, development, fulfillment and execution of this Contest (collectively, “Contest Parties”) and the immediate family members of each and those living in the same households of each such employee, contractor, director or officer.
CONTEST PERIOD:The Contest begins at or about 1:00 PM PST on Tuesday, February 10, 2025 and ends at 11:00 PM PST on Sunday, February 16, 2025 (the “Promotion Period”). Only Contest entries received during the Promotion Period will be eligible for the Contest.
TO ENTER: NO PURCHASE NECESSARY TO ENTER OR ALL FEDERAL, STATE, PROVINCIAL, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY.

Eligible Contest participants can enter by:

(i) “following” LA Fitness @LAFitness and Factor @FactorMeals on Instagram; (ii) “liking” the “Giveaway” post on @LAFitness and (iii) commenting your favorite LA Fitness location on the “Giveaway” post on @LAFitness (one entry per location commented). Bonus entry for tagging one friend on the “Giveaway” post on @LAFitness.

Only users with a “public” profile on Instagram will be eligible Contest participants. Limit one (1) prize per participant. Winners of a prize from Sponsor within the past thirty (30) days from the beginning date of this Contest are not eligible.

Sponsor reserves the right to disqualify any entries by persons determined to be tampering with or abusing any aspect of the Contest.

ODDS OF WINNING: Odds of winning will be determined by the number of eligible Contest participants per prize item during the Promotion Period.
PRIZE:Prize winner will be selected on or about February 17, 2025 by random drawing from all eligible entries received during the Promotion Period. Sponsor may elect to announce winner on Instagram on or about February 18, 2025. Sponsor will contact the winner on his or her Instagram profile or by email, if possible, asking the winner to submit his or her contact information. Winner must create a Factor account and provide a credit card in order to receive the two weeks of Factor meals. Factor subscription auto-renews if not deactivated in a timely manner pursuant to Factor’s terms at factor75.com/terms. Auto-renewal (if not deactivated pursuant to the preceding sentence) shall take effect on the same plan (i.e., box value and number of meals per week) that the winner selects for their prize. One prize will be awarded to one winner. Selected winner will have until February 25, 2025 to submit their contact information. By entering this Contest, you agree that Sponsor may send you marketing and promotional materials via email to the email address(es) you provide to Sponsor.

The prize to be awarded are as follows, with the approximate retail value (ARV) as set forth below (expressed in US Dollars):

One (1) LA Fitness Towel; ARV $5
One (1) LA Fitness Shaker; ARV $5
One (1) LA Fitness Gym Bag; ARV $25
One (1) Shop LA Fitness Gift Card; ARV $50
Two weeks of Factor meals (up to a total value of $334, or $167 per week), ARV up to $334

APPROXIMATE TOTAL VALUE OF ALL PRIZES: Up to $419

The prize winner is solely responsible for all expenses and applicable Federal, State, provincial and local taxes relating to receipt of the prize, except as mentioned herein. All expenses not specified above, including, without limitation, all federal, state, provincial, and local taxes, and international tariffs, and any other expenses relating to the use of the prize(s) are the sole responsibility of the winner. Prize winner must sign Sponsor’s standard form of membership agreement and/or liability waiver, as applicable, in order to access Club Studio facilities and receive recovery and cryotherapy services.

The prize is non-transferable. No prize or cash substitutions are permitted. The prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. A Statement of Eligibility and Release of Liability Form must be completed by the winner. You are not a winner until your eligibility has been verified, and it is determined that you have complied with all terms of these Official Rules. Failure to comply with the conditions contained herein will result in forfeiture of the prize, which may or may not be re-awarded to an alternate winner at the sole discretion of the Sponsor. Except where prohibited by law, by entering, the winner consents to the use of their name, likeness and/or biographical information for advertising and promotional purposes without additional consideration with the understanding that it will be relied upon by Fitness International, LLC in connection with the Contest. Fitness International, LLC reserves the right to use the winner’s name, photograph, likeness, and/or content of the winner’s comment(s) for rebroadcast and/or promotional and publicity purposes at any time without advance permission or knowledge required or any additional compensation in any format and in any media including, but not limited to, any website or promotional materials of Sponsor.

If Sponsor so elects, the winner may be required to submit to, and cooperate in, a confidential background check to confirm eligibility and to help ensure that the use of any such person in advertising or publicity will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Sponsor as determined by Sponsor in its sole discretion. If requested, the winner will agree to such background check and understand and agree that Sponsor may disqualify the winner based on the results of the background check, at Sponsor’s election.

Sponsor, its subsidiaries, owners, members, agents, franchisees, licensees, agencies, affiliates, officers, directors, employees, assigns, successors, managers and operators of the Contest, providers of the facilities used for the Contest, advertising and/or promotional agencies or any other sponsors or promoters (the “Concerned Parties”) assume no liability or responsibilities, financial or otherwise, of any damage, loss or injury resulting from or arising out of participation in the Contest and/or the acceptance and use of the prizes. The Concerned Parties reserve the right at any time to cancel this Contest, make rules and Contest changes and/or substitute other prizes of equal or greater value for any reason or in the event that any prize becomes unavailable.

DECISION OF THE SPONSOR: All decisions of Sponsor regarding winner selections and this Contest are final. Sponsor reserves the right to cancel this promotion at any time for any reason without notice.
By entering, Contest participants agree to be bound by these official rules, including all eligibility requirements and agree to release, discharge and hold harmless Sponsor, its affiliates, subsidiaries, franchisees, divisions, advertising and promotion agencies, and all of their respective employees, directors, officers, shareholders, agents, successors or assigns (collectively “Releasees”), from any claims, losses, actions, or damages, whether actual, incidental or consequential, arising out of or relating to entrants’ participation in this Contest, or the acceptance, possession or use/misuse of any prize, or participation in prize-related activities. Releasees are not responsible for: (i) entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, or not received by the Sponsor or its agents for any reason; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries or the announcement of the prize winner, or for destruction of or unauthorized access to, or alteration of, entries; (iii) failed or unavailable hardware, network, software, internet service or telephone, cable or satellite transmissions, cellular equipment towers, damage to entrants’ or any person’s computer, wireless phone/handset and/or its contents, or causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Contest; or (iv) any entries submitted in a manner that is not expressly allowed under these rules. Sponsor is further not responsible for incorrect or inaccurate entry information whether caused by the website or any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the transmission, receipt or processing of the entries. If for any reason this Contest is not capable of running as planned, Sponsor reserves the right, at its sole discretion, to disqualify any individual implicated in such action, and/or to cancel, terminate, modify or suspend this Contest.

All decisions of Sponsor regarding winner selections and this Contest are final. By participating in the Contest, participants agree to be bound by the decisions of Sponsor and/or Sponsor’s representatives. Persons who violate any rule, gain unfair advantage in participating in the Contest, or obtain winner status using fraudulent means will be disqualified.

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY ANY SUCH PERSON AND SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM HIM/HER TO THE FULLEST EXTENT PERMITTED BY LAW.

GOVERNING LAW/DISPUTE RESOLUTION:

To the fullest extent permitted by law, by participating in the Contest, you agree that the laws of the State of California will govern this Contest and that any claim, issue or dispute arising with respect to the Contest will be conclusively resolved without right of appeal by binding arbitration conducted in California according to the commercial arbitration rules of the American Arbitration Association. Before commencing arbitration, the parties will use good faith efforts to negotiate a business resolution for a period of no less than 30 days after the claim, issue or dispute arises. To the extent any claim related to the Contest is permitted to be brought in any court, you agree that (a) such action shall be filed exclusively in the federal or state courts of Orange County, California and you hereby consent and submit to the personal and exclusive jurisdiction of such courts for the purposes of litigating any such action; (b) such action shall be resolved individually, NOT as part of a class action; and (c) any claims/judgments/awards shall be limited to actual out-of-pocket costs incurred, but NOT attorney’s fees.

The Contest is in no way sponsored, endorsed, administered by or associated with Instagram, Facebook or Twitter. By participating, you release Instagram, Facebook, Twitter, and their respective parent companies, subsidiaries, affiliates, partners, employees, directors, agents, advertising agencies, from and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Contest and/or the acceptance, awarding, receipt, use and/or misuse of the prize. Any information you submit on Instagram, Facebook, or Twitter is to the Sponsor and its third-party service providers and not to Instagram, Facebook, or Twitter.
